Welcome to ZiClassifieds, a global classifieds, marketplace, and listings platform operated by Pro Outsource LTD, a company registered in England and Wales (Company Number: 16166040). By accessing or using our website (https://ziclassifieds.com) or mobile application (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use the Platform.
These Terms govern your use of the Platform, including browsing or posting classified ads, purchasing goods or services, promoting businesses, and engaging with our services. These Terms incorporate our Privacy Policy and any additional policies referenced herein.
1. About ZiClassifieds
ZiClassifieds is a platform operated by Pro Outsource LTD that enables users to discover and purchase goods, services, jobs, real estate, events, or community announcements. Pro Outsource LTD acts as the legal seller of record for all goods and services listed on the Platform (except for cash-on-delivery transactions). Suppliers provide goods or services to Pro Outsource LTD, which then sells them to buyers through the Platform. We use third-party payment processors (e.g., Stripe, PayPal) to handle payments and may charge fees for premium services (e.g., featured listings), which are disclosed at the point of engagement. We do not facilitate payments between buyers and suppliers; all transactions are with Pro Outsource LTD.
2. Eligibility to Use the Platform
2.1. Age and Capacity: You must be at least 18 years old and have the legal capacity to enter into contracts to use the Platform. By using the Platform, you confirm that you meet these requirements.
2.2. Location: The Platform is accessible globally but is primarily designed for users in the UK, Zimbabwe, South Africa, and the African diaspora. You are responsible for ensuring your use complies with local laws in your jurisdiction.
2.3. Account Responsibility: Users must provide accurate, complete, and up-to-date information during account creation. You are solely responsible for maintaining the confidentiality of your account credentials (e.g., username, password) and for all activities conducted under your account.
2.4. Verification: While we conduct basic checks to improve platform trust, Pro Outsource LTD does not guarantee the legitimacy or accuracy of supplier information. Buyers should exercise their own independent verification before purchasing, particularly in international transactions.
3. User Conduct and Acceptable Use
3.1. Permitted Use: You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of, or restrict the use and enjoyment of, the Platform by other users.
3.2. Prohibited Activities: You must not:
- Post, upload, or distribute content that is unlawful, defamatory, obscene, pornographic, harassing, discriminatory, or otherwise objectionable.
- Engage in fraudulent activities, including misrepresenting goods, services, or your identity.
- Use the Platform to transmit viruses, malware, or any malicious code that could harm the Platform or other users' devices.
- Attempt to reverse engineer, hack, or interfere with the Platform’s functionality or security, including payment or verification systems.
- Post content that infringes intellectual property rights, including copyright, trademarks, or trade secrets.
- Use automated scripts, bots, or other tools to scrape or harvest data from the Platform without our express permission.
3.3. Content Ownership and Responsibility: You retain ownership of content you post ("User Content") but grant Pro Outsource LTD a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, display, and distribute your User Content for the purpose of operating the Platform. You warrant that you own or have the necessary rights to post your User Content and that it complies with these Terms. Suppliers must ensure that listings, descriptions, and media are accurate and do not infringe third-party rights. Pro Outsource LTD reserves the right to remove any listings that violate applicable laws or platform guidelines.
3.4. Content Removal: We reserve the right to remove or edit any User Content that violates these Terms or is deemed inappropriate, at our sole discretion, without notice or liability.
3.5. Reporting Abuse: If you encounter content that violates these Terms, you may report it to us at [email protected]. We will review reports and take action at our discretion.
4. Transactions and Payments
4.1. Role in Transactions: Pro Outsource LTD is the legal seller of record for all goods and services listed on the Platform (except for cash-on-delivery transactions). Buyers contract directly with Pro Outsource LTD, not with suppliers. Suppliers provide goods or services to Pro Outsource LTD, which sells them to buyers through the Platform. We do not facilitate payments between buyers and suppliers; all payments are made to Pro Outsource LTD, which then compensates suppliers.
4.2. Payment Processing:
- Service: Pro Outsource LTD uses third-party payment processors (e.g., Stripe, PayPal) to handle payments for goods, services, or premium listings (e.g., featured ads). All payments are subject to the terms and conditions of the relevant payment processor.
- Fees: Buyers may be charged fees for certain transactions or premium services, which are disclosed at the point of purchase (e.g., during checkout or when selecting a premium service). All fees are non-refundable unless otherwise stated or required by law.
- Payment Obligations: You agree to provide accurate payment information and authorize us (or our third-party processor) to charge your chosen payment method for any purchases or fees you incur.
- Security: We implement industry-standard security measures to protect payment data, but we are not liable for breaches caused by third-party processors or your failure to secure your account.
- Supplier Payments: Pro Outsource LTD pays suppliers for goods or services provided, using methods such as bank transfers, mobile money, or services like Mukuru, at our discretion. Suppliers have no direct payment relationship with buyers.
4.3. Buyer Responsibility:
- General: Buyers are responsible for reviewing the accuracy, quality, and legality of goods or services before purchasing. All purchases are contracts with Pro Outsource LTD, not suppliers.
- Due Diligence: For transactions involving international suppliers (e.g., in Africa), buyers must exercise their own independent verification to assess the suitability of goods or services, as legal protections may vary. While we conduct basic checks to improve platform trust, Pro Outsource LTD does not guarantee the legitimacy or accuracy of supplier information.
4.4. Disputes and Refunds:
- Transaction Disputes: Disputes regarding the quality, delivery, or condition of goods or services must be raised with Pro Outsource LTD, as the legal seller of record. We will facilitate communication with suppliers to resolve disputes but are not obligated to mediate beyond reasonable efforts.
- Refund Policy: Refunds are limited to amounts paid to Pro Outsource LTD (e.g., for goods, services, or premium listings). To request a refund, contact us at [email protected] within 14 days of the transaction. Refunds are subject to our review and applicable laws.
- UK Transactions: For UK buyers, UK consumer protection laws (e.g., Consumer Contracts Regulations 2013, Consumer Rights Act 2015) apply, including a 14-day cooling-off period for certain purchases.
- International Transactions: For transactions involving suppliers in Africa or other international jurisdictions, legal remedies may be limited. We will make reasonable efforts to facilitate dispute resolution but are not liable for losses arising from such transactions.
- Fraudulent Transactions: You must promptly report any suspected fraudulent transactions to us. We reserve the right to reverse or withhold payments in cases of suspected fraud, subject to investigation.
4.5. Consumer Protection: If you are a consumer purchasing goods, services, or premium listings from Pro Outsource LTD, you may have rights under applicable laws, such as the UK Consumer Contracts Regulations 2013, which include a 14-day cooling-off period for certain purchases. These rights apply to transactions with Pro Outsource LTD.
4.6. Supplier Responsibilities and Liabilities:
- Fulfillment Obligations: Suppliers must fulfill orders within the timeframe agreed with Pro Outsource LTD. If a supplier fails to fulfill an order within the agreed timeframe, Pro Outsource LTD reserves the right to cancel the order, issue a full refund to the buyer, and withhold payment from the supplier.
- Liability for Defects or Misrepresentation: Pro Outsource LTD may seek recovery or reimbursement from the supplier in cases of customer refunds, chargebacks, or losses caused by misrepresented, defective, or undelivered goods or services.
- Payout Suspension: Pro Outsource LTD reserves the right to delay or suspend supplier payouts in cases of suspected fraud, buyer complaints, legal investigations, or breaches of these Terms or any supplier agreement.
4.7. Tax Responsibilities: Pro Outsource LTD complies with applicable VAT obligations in jurisdictions where required, including UK VAT for sales exceeding £90,000 annually and EU VAT for B2C transactions above the €10,000 threshold. Buyers outside the UK may be responsible for local import taxes or duties. Suppliers are solely responsible for determining and complying with their own VAT, sales tax, or income tax obligations in their respective jurisdictions. Pro Outsource LTD is not liable for any tax obligations arising from supplier activities.
5. Intellectual Property
5.1. ZiClassifieds’ Intellectual Property: All content on the Platform, including text, images, logos, software, and design elements, is owned by or licensed to Pro Outsource LTD and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.
5.2. User Content License: By posting User Content, you grant Pro Outsource LTD a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, and display such User Content for the purposes of operating and promoting the Platform.
5.3. Infringement Claims: If you believe your intellectual property rights have been infringed on the Platform, please contact us at [email protected] with details of the alleged infringement.
6. Limitation of Liability
6.1. No Warranties: The Platform and its services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
6.2. Exclusion of Liability: To the fullest extent permitted by law, Pro Outsource LTD, its directors, employees, or affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from:
- Your use of or inability to use the Platform or its services.
- Errors, inaccuracies, or omissions in content posted on the Platform.
- Disputes, losses, or damages arising from purchases or interactions with suppliers.
- Failures, delays, or errors in payment processing or supplier verification, including those caused by third-party processors.
- Viruses, malware, or other harmful components encountered through the Platform.
6.3. Consumer Protections: Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded under applicable law (e.g., Consumer Rights Act 2015).
6.4. Maximum Liability: Our total liability under any claim, including those resulting in chargebacks or refunds, shall not exceed the amount received by us for the specific transaction in question.
7. Indemnification
You agree to indemnify and hold harmless Pro Outsource LTD, its affiliates, officers, directors, and employees from any claims, losses, liabilities, or expenses (including legal fees) arising from:
- Your use of the Platform or its services.
- Your violation of these Terms.
- Your User Content or its infringement of any third-party rights.
- Any disputes or transactions with Pro Outsource LTD, including payment-related disputes.
8. Termination
8.1. Account Termination: We reserve the right to suspend or terminate your account or access to the Platform at any time, without notice, for reasons including but not limited to:
- Violation of these Terms.
- Suspected fraudulent or illegal activity.
- Failure to comply with payment obligations for goods, services, or premium listings.
8.2. Effect of Termination: Upon termination, your right to access the Platform ceases, and we may delete your User Content. You remain liable for any obligations incurred prior to termination.
9. Governing Law and Dispute Resolution
9.1. Governing Law: These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales, subject to mandatory consumer protection laws in your jurisdiction.
9.2. Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where consumer protection laws in your jurisdiction require otherwise.

We use third-party payment processors that are authorized and regulated by relevant authorities (e.g., the Financial Conduct Authority in the UK). As Pro Outsource LTD is the legal seller of record, we do not provide payment services or handle third-party funds, eliminating the need for FCA authorization.
11.2. Chargebacks: If you initiate a chargeback with your payment provider, we reserve the right to suspend your account pending investigation. You agree to provide any information requested to resolve chargeback disputes.
11.3. Taxes: Pro Outsource LTD complies with applicable VAT obligations in jurisdictions where required, including UK VAT for sales exceeding £90,000 annually and EU VAT for B2C transactions above the €10,000 threshold. Buyers outside the UK may be responsible for local import taxes or duties. 12. Modifications to the Terms
12.1. Changes: We may update these Terms at any time to reflect changes in our services or legal requirements. We will notify users of significant changes via email or a notice on the Platform.
12.2. Acceptance: Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform.

15. Force Majeure
Pro Outsource LTD shall not be liable for delays or failure in performance due to events beyond its reasonable control, including but not limited to acts of God, war, political unrest, cyberattacks, utility failures, natural disasters, or governmental actions.
16. Miscellaneous
16.1. Entire Agreement: These Terms, together with the Privacy Policy and any additional policies, constitute the entire agreement between you and Pro Outsource LTD regarding the use of the Platform.
16.2. Severability: If any provision of these Terms is found to be unlawful or unenforceable, it shall be severed, and the remaining provisions shall remain in effect.
16.3. No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
16.4. Assignment: We may assign our rights and obligations under these Terms to another entity. You may not assign your rights without our prior written consent.
